1. Introduction and acceptance of these terms

These Terms of Use ("Terms") govern your access to and use of the website located at cystemx.com (the "Site"), published by CYSTEM X LLP ("Cystem X", "we", "us" or "our"). By accessing or using the Site, you confirm that you agree to be bound by these Terms, together with our Privacy Policy and Cookie Policy referenced in section 11 below. If you do not agree, please discontinue use of the Site. These Terms apply to every visitor, including prospective clients, government and defense evaluators, business partners and members of the public.

2. About Cystem X

"Cystem X" is the brand name used by CYSTEM X LLP, a limited liability partnership organized and registered under the laws of Pakistan, with its registered office at Opposite Sadar Police Station, Jalal Pur Ring Road, Gujrat, Punjab 50700, Pakistan. Cystem X provides enterprise technology services across eight practice areas, namely Cybersecurity; AI and Generative AI; AI Infrastructure and LLMOps; AI Security and Trust; Cloud and Infrastructure; Software Engineering; Data and Databases; and Managed Services and Talent, serving enterprise, government and defense clients worldwide. Any reference on the Site to "Cystem X", "we", "us" or "our" means CYSTEM X LLP.

3. Eligibility

The Site is intended for business visitors evaluating Cystem X's services, including representatives of corporations, government bodies and defense organizations. By using the Site, you represent that you have the legal capacity to enter into a binding agreement under the Contract Act 1872, which requires free consent, competent parties, lawful consideration and a lawful object for a valid contract. If you use the Site on behalf of an organization, you represent that you are authorized to act on its behalf.

4. Use of this website

The Site and its content are made available for general informational purposes only, to describe Cystem X's capabilities, practice areas and approach for enterprise, government and defense audiences. Nothing on the Site, including service descriptions, case studies, technical content or correspondence exchanged through the contact form, constitutes a binding offer, quotation, tender or contract, and no engagement or service relationship with Cystem X is created merely by browsing the Site or submitting an inquiry. A binding commercial relationship with Cystem X arises only once the parties have negotiated and signed a separate statement of work, services agreement or other definitive contract. Where such a signed agreement exists, its terms govern that specific engagement, and these Terms continue to govern your general use of the Site.

5. Intellectual property

All content on the Site, including text, graphics, logos, icons, images, diagrams, software, page layout and the overall look and feel of the Site, together with the "Cystem X" name, brand and associated marks, is owned by or licensed to CYSTEM X LLP and is protected by applicable copyright, trademark and other intellectual property laws. You may view, download and print pages from the Site solely for your own internal business evaluation of Cystem X's services. Except as expressly permitted in this section, you may not reproduce, republish, redistribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Site, in whole or in part, for any commercial or public purpose, without the prior written permission of Cystem X.

6. Acceptable use and prohibited conduct

When using the Site, you agree that you will not: (a) attempt to gain unauthorized access to the Site, its underlying systems, servers or networks, or to any account or data not intended for you; (b) use any automated tool, bot, scraper or crawler to systematically extract content from the Site for competitive data harvesting or for any purpose other than ordinary search-engine indexing; (c) interfere with, disrupt or place an unreasonable load on the Site's operation or availability, including through denial-of-service activity; (d) upload or transmit any virus, malware or other malicious code to the Site; (e) submit false, fraudulent or misleading information through the contact form; or (f) engage in any conduct that would amount to unauthorized access to an information system, electronic fraud, or data interference under the Prevention of Electronic Crimes Act 2016, or that would otherwise violate applicable law. We reserve the right to restrict or deny access to any visitor who we reasonably believe has violated these Terms.

7. Third-party links and services

The Site contains links to third-party platforms, including our LinkedIn page and Facebook page, and links to Google Maps to display our office location. These third-party sites and services are operated independently of Cystem X and are governed by their own terms of use and privacy practices. Cystem X does not control, endorse, or accept responsibility for the content, accuracy, security or privacy practices of any linked third-party site, and your use of any such site is at your own risk and subject to that site's own terms.

8. No warranty

The Site and all content made available through it are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, to the fullest extent permitted by applicable law. Without limiting the foregoing, Cystem X does not warrant that the Site will be uninterrupted, timely, secure, or free of errors, defects or viruses, or that the information presented on the Site is complete, accurate or current. Cystem X disclaims all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose, and non-infringement, to the extent such disclaimers are permitted under applicable law.

9. Limitation of liability

To the fullest extent permitted under the laws of Pakistan, CYSTEM X LLP, its partners, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising out of or relating to your access to, or use of, the Site, even where we have been advised of the possibility of such damages. This limitation applies regardless of the legal theory on which a claim is based. Nothing in this section limits or excludes any liability that cannot lawfully be limited or excluded under the laws of Pakistan.

10. Indemnification

You agree to indemnify and hold harmless CYSTEM X LLP, its partners, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable legal costs, arising out of or in any way connected with your misuse of the Site, your violation of these Terms, or your violation of any applicable law or the rights of a third party.

11. Privacy

Our collection and use of personal data submitted through the Site, including through the contact form, is described in our Privacy Policy. Our use of cookies and similar technologies on the Site is described in our Cookie Policy. By using the Site, you acknowledge that your personal data will be handled in accordance with those policies.

12. Governing law and jurisdiction

These Terms, and any dispute arising out of or in connection with them or their subject matter, formation or validity, are governed by and construed in accordance with the laws of Pakistan, including the Contract Act 1872 as the foundational law of contract, and the Electronic Transactions Ordinance 2002, which gives legal recognition to electronic records, documents and communications of the kind exchanged through the Site. Subject to any mandatory law to the contrary, disputes arising out of these Terms are subject to the exclusive jurisdiction of the civil courts at Gujrat, Punjab, namely the Court of the District and Sessions Judge, Gujrat and the courts subordinate to it, with the Lahore High Court retaining its ordinary appellate and supervisory jurisdiction over those courts as the High Court for the Province of Punjab. You agree to submit to the jurisdiction of those courts.

13. Changes to these terms

We may revise these Terms from time to time to reflect changes in our services, legal or regulatory requirements, or the operation of the Site. When we do, we will update the "Last updated" date at the top of this page. Changes take effect as soon as the revised Terms are posted on the Site. Your continued use of the Site after a revised version is posted constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.

14. Severability and entire agreement

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal or unenforceable, that provision will be deemed severed from these Terms, and the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Cystem X regarding your use of the Site, and supersede any prior understandings or agreements, written or oral, relating to that subject matter. These Terms do not, by themselves, create any partnership, joint venture, agency or employment relationship between you and Cystem X.
